agree to be bound by these Terms & Conditions. If you do not agree, please do not use the

By accessing, registering, or purchasing any plan on OpNest ("Platform"), you agree to be bound by

3. Eligibility
To use OpNest:
You must be at least 18 years
old
You must have legal capacity to
enter contracts
You must provide accurate
registration information
We reserve the right to refuse service
at our discretion.
4. Nature of Services
OpNest is a Software-as-a-Service (SaaS) platform that enables users to operate digital business
tools under structured subscription plans.
The Platform provides access to:
Website builders
E-commerce tools
Booking systems
Marketing tools
Automation systems
Business management
modules
Features available depend on the subscription plan selected. OpNest may improve, modify, or
discontinue features at any time.
5. Subscription Plans & Billing
OpNest offers structured subscription plans including:
Launch Plan
Growth Plan
Empire Plan
Billing Structure
Plans may be billed monthly or
annually
GST is applicable as per Indian
law
Pricing may be revised with
notice
Upgrades
Users may upgrade their plan
anytime
Downgrades
Downgrades may apply at the next
billing cycle
6. Payments & Taxes
All payments are processed
through secure third-party gateways

Failed payments may result in
suspension
All payments are non-refundable

7. Top-Up Credits
Top-Up Credits may be purchased
to extend platform functionality

Unused credits may expire as per
platform policy
OpNest reserves the right to
modify credit structures
8. Performance-Based Incentives
OpNest may, at its discretion, operate structured performance-based incentive frameworks within
certain roles or operational programs of the ecosystem. Such frameworks may use internal performance
metrics to evaluate contribution levels and determine eligibility for incentives.

Participation in any incentive
framework does not guarantee income
Incentives are discretionary and

Incentive structures may be
modified, suspended, or discontinued at any time
Participation does not create
any employment relationship, partnership, ownership, equity, or profit-sharing
rights
All internal performance and
incentive mechanisms are subject to revision at the sole discretion of OpNest
9. Independent Participation
Certain roles or programs within the OpNest ecosystem may operate on an independent participation
basis. Participants in such roles:
Are not employees of
OpNest
Are not entitled to employee
benefits or statutory employment protections
Operate independently and are
responsible for their own compliance with applicable laws and taxes
OpNest reserves the right to modify,
restructure, or discontinue any participation model or program at its discretion.
10. Intellectual Property
All rights to:
Software
Code
Design
Branding
Logos
Templates
Platform architecture
remain the exclusive property of
OpNest. Users receive a limited, non-exclusive license to use the Platform under their subscription.
Users may NOT:
Copy platform code
Reverse engineer
Resell platform access
Duplicate proprietary
systems
11. Acceptable Use
You agree NOT to:
Use the platform for illegal
activities
Conduct fraud
Upload unlawful content
Abuse system
infrastructure
Misrepresent OpNest
Spam clients
Attempt unauthorized
access
Violation may result in termination
without refund.
12. User Content Responsibility
Users are responsible for all content uploaded or created through the Platform.
OpNest is not liable for:

Claims arising from user-created

13. Earnings Disclaimer
OpNest does NOT guarantee income. Success depends on:
Individual effort
Market conditions
Business execution
Any examples of earnings are illustrative only. Business risk belongs to the user.
14. Refund & Cancellation Policy
Unless otherwise stated:
Subscription fees are
non-refundable
Credits are
non-refundable
No refund after
activation
Chargebacks or payment disputes
may result in permanent account suspension
15. Suspension & Termination
OpNest may suspend or terminate accounts for:
Non-payment
Fraud
Policy violation
Platform misuse
Harmful conduct
We are not liable for losses resulting
from suspension.
16. Third-Party Integrations
OpNest may integrate with external services. We are not
responsible for:
Downtime
Policy changes
API disruptions
Third-party data
breaches
17. Limitation of Liability
The Platform is provided "as is". OpNest is not liable for:
Business losses
Revenue loss
Client disputes
Indirect damages
System downtime
Maximum liability is limited to the
amount paid by you in the preceding 3 months.
18. Indemnification
You agree to indemnify and hold harmless OpNest from claims
arising from:
Your misuse
Your client disputes
Your violation of laws
Your content uploads
19. Modifications to Terms
We may update these Terms periodically. Continued use of the Platform implies acceptance of updated
Terms.
20. Force Majeure
OpNest is not liable for service disruption caused by:
Natural disasters
Government restrictions
Cyber attacks
Infrastructure failure
Events beyond reasonable
control
21. Dispute Resolution
